Faith Restoration Center, Incorporated General Council By-Laws Article I It shall include all missionary work, once church activities of FRCI New Jersey, New York, California, Nevada, Canada, Nigeria, Australia, Philippines and any district approved by the General Council./Assembly. Article II The FRCI is a cooperative fellowship of all Christian-affiliated organizations based upon mutual agreement entered into by its members in conformity with the FRCI statement of purposes. a) To encourage and promote the evangelization of the world; b) To provide centralization of church government, discipline and doctrine of all FRCI members and all church affiliates; c) To establish and maintain General Ecclesiastical department and General Council of Ministers and laymen; d) To approve or disapprove any resolution or recommendation of any district, board or department; e) To train, motivate and supervise all missionaries and ministers and district officers; f) To approve or disapprove any district project; g) To elect its officers, appoint committees within the rank and file of the FRCI. Article III (A) – Board of Trustees 1- Qualifications and Elections- The general management of the General Council shall be vested in the Board of twelve (12) members who ordained ministers of mature Christian experience plus two lay (2) laymen and demonstrated a leadership ability from the district, all of whom shall be elected every four (4) years from the General Council convention except the Titular Bishop/General Superintendent who is the chairman of the Board and any of his two (2) Vice Titular Bishops who will be a part of the Board of Trustees during their lifetime or until they resign, retire or totally incapacitated to discharge the functions of their respective positions. In case of death, resignation or total disability, the most senior Vice Titular Bishop succeeds. Priorities of nominations for members of the Board of Trustees 2- The Board of Trustees shall receive and administer all request made by the local church; shall receive and administer all trust; shall invest all trust funds of FRCI. It will encourage the investment in institutions, companies, corporations or bonds which will make a positive contribution towards the realization of the Goal of the FRCI. 3- Any real property owned by, or which an unincorporated local church has any interest, maybe sold, transferred or mortgaged subject to the following procedure and conditions: a) A written consent of the Pastor of the local church and endorsed by his Auxiliary Bishop should be sent for approval by the Board of Trustees and the Titular Bishop. 4- Minutes of all meetings of the Board of Trustees shall be kept and carefully preserved as a record of business transacted at such meetings. The minutes shall contain such entries as maybe required by the law. 5- Compensation- the Board of Trustees as such, shall receive such compensation for their services as may be from time to time fixed by the Board of Trustees as the financial resources of the corporation warrant subject to the approval of the Titular Bishop and the members. Article IV - Membership The members of Faith Restoration Center, Inc. shall consist of: 1. All ordained ministers. Missionaries holding accredited fellowship Certificate or Identification Card (ID) issued by the General Council duly approved by the Titular Bishop or General Superintendent. 2. All Bishops, District Superintendent and the Asst. Superintendents from different districts. 3. All affiliated churches, congregations, fellowship, school and any other institutions. 4. All others provided that they have accepted that Christ is the only salvation regardless of their religious affiliations, persuasions or creed. Article V – Officers The General Ecclesiastical Officers shall consist of the Titular Bishop, Vice Titular Bishops and the seven (7) Auxiliary Bishops. Their term of office shall be for Four (4) years except the Titular Bishop and Vice Titular Bishop who will serve during their lifetime or until they retire, resign or otherwise be totally incapacitated to perform their functions. Likewise all members of which are appointed by the Titular Bishop are members of which are appointed by the Titular Bishop are members of the General Ecclesiastical Officers. The General Executive Council shall consist of the General Superintendent, Assistant General Superintendent and the District Superintendents. Also included are the International Directors of the different departments and institutions. Finally, the rest of the members are the General Secretary, General Treasurer and their Assistants. A. The specific responsibilities of the officers are: A. Titular Bishop/General Superintendent 1- To lead and oversee the spiritual and temporal affairs of all districts; 2- To appoint Bishops, District Superintendents and Ministers as well as terminate their appointments for a just cause. 3- To consecrate Bishops, Superintendents and ordained Ministers and Missionaries; 4- To impose or veto resolutions approved by the Board of Trustees or the General Ecclesiastical and District Officials; 5- To supervise all Pastoral activities of all District Officials and the General Ecclesiastical Body including the Credential and International Directors; 6- To act as Honorary President of all Educational Institutions of FRCI. 7- To preside in all General Council Meetings/Conventions or any International Assemblies of FRCI; 8- To formulate a centralized form of church government and district organization for the greater propagation of the Gospel of the Lord Jesus Christ; 9- To approve FRCI expansion or church affiliations or disapprove the same; 10- To issue Memos, instructions, warnings to all FRCI officials and Ministers; and 11- To appoint from among the Bishops/Superintendents or ordained Ministers and laymen, Department Heads who shall serve as his Cabinet with absolute power to remove and replace; B. Vice Titular Bishop/Assistant Superintendent 1- To provide Pastoral support and supervision of the Auxiliary Bishops/District Superintendent and their assistants; 2- To report from time to time all activities and plans of all District and all the International Directors to the Titular Bishop/General Superintendent; 3- To provide liaison in Ecumenical activities and government departments of all nations or stated where the FRCI has its expansion; 4- To serve as permanent member of the International Credential Committee with Titular Bishop/General Superintendent as Chairman; 5- To act as advisor to the Titular Bishop/General Superintendent; 6- To discharge such other duties as the Titular Bishop/General Superintendent may assign including any request from the Board of Trustees; C. Auxiliary Bishop All candidates for consecration to Auxiliary Bishops must have rendered at least five (5) years of active service and involvement in the ministry of Faith Restoration, Inc. His duties and responsibilities are: a) To take charge of the supervision of the operation of at least two or more districts headed by District Superintendent; b) To recommend ordained Ministers for appointment to the positions of District Superintendent, District Superintendent and any other international Directors’ position for inclusion in the International Credential Committee; c) To supervise and discipline all ministers under his/her jurisdiction; d) To establish sound doctrine, discipline, financial projects, church expansion programs and missionary activities for all ministers and laymen under his/her jurisdiction; e) To countersign any credential or appointments being recommended for final review by the International Credential Committee and for final confirmation and approval by the Titular Bishop/General Superintendent; f) To make a report of all activities of the the District under his jurisdiction during the General Council Meetings and from time to time to attend special meetings called by the Titular Bishops. g) To work closely with all District Superintendents, Asst. District Superintendents and all International Directors assigned to his/her jurisdiction; and h) To act as spiritual adviser to the District Superintendent ann all brethren under his/her jurisdiction; District Superintendent The District Superintendent may appointed by the Titular Bishop upon recommendation of the Auxiliary Bishop and the International Credential Committee. The candidate must have been an ordained minister for at least three (3) years. His duties are: a- To act as Regional Head of the Clergy within his/her District; b- To assign, transfer and recommend Missionaries, Evangelists, Pastors and Teachers to their respective duties and responsibilities; c- To recommend well experienced ministers of at least three (3) years Missionary and Evangelistic experience for ordination; d- To countersign any credential to be issued by the Department Head being authorized by the Titular Bishop/General Superintendent e- To recommend Bible college graduates for ordination or for the issuance of Ministerial licenses; f- To issue exhortation Credentials to qualified Born Again Christians, Churches, Elders, Deacons and Laymen to submit the same to the International Credential Committee for confirmation; g- To temporarily suspend or revoke credentials issued to any erring minister until the Board of Directors of the District recommend him/her to the International Credential committee for dis-fellowship or removal; h- To accept all church and ministerial affiliation within his or her District; i- To report all activities in his/her District to the Auxiliary Bishop or to the General Superintendent or a anybody authorized to receive such by the Titular Bishop; j- To keep record of all ministers, laymen and church members and their religious activities; k- To strictly control the District’s record of Deaths, Baptisms, Weddings and newly added members and send it yearly to the Titular Bishop/General Superintendent; l- To be official delegate in every General Council/Convention and appoint his/her alternate delegate; m- To preside in every district meeting and conventions; n- To assist all visiting missionaries, Evangelists, or Ministers and to take charge of their activities and to report the progress of their visit to the General Superintendent; o- He is empowered to appoint temporarily any qualified minister to occupy vacant positions of the Board of Directors until their successors shall have been elected; p- To encourage all District Department Heads, Ministers and Laymen to coordinate with the Bishops and the General Council; q- To assure the faithful compliance with the provisions of the FRCI By-Laws in his/ her district; and r- To organize FRCI Educational Institutions for the training of the Future Gospel Workers; The Assistant District Superintendent maybe elevated to the position of District Superintendent in case of a vacancy or he may be appointed to the International Directors’ position. His duties are: a- To formulate sound financial planning in every church which is acceptable within the District and review it with the District Superintendent for the Auxiliary Bishop or the Titular Bishop’s approval or implementation; b- To assist the FRCI District Superintendent in the administration and financial management of the District; c- To act as alternate delegate in every General Council and Convention; d- To discharge such other duties as the District Superintendent may assign; e- To at least be responsible for the training and motivation and supervision of a least ten (10) ministers or five (5) local churches or congregations; f- To take charge of the submission of the District activities to the past year to the general Superintendent and assist the District Superintendent to consolidate all records and activities; g- To assist the District Superintendent on the organization and supervision of all Educational Institution (Bible Schools Institute, college and seminary; and h- To encourage laymen’s organization and the Youth Department to be more active and participative in their church activities on the District level; General Secretary The General Secretary shall also serve as the recording Secretary of the General Council and International Credential Department. Among his regular duties are: a- To keep accurate minutes of the proceedings of the General Council/Assembly, the International Credential Department and the Board of Trustees; b- He shall be the custodian of the FRCI seal and all records including registrations of FRCI seal and all records including registrations of FRCI in other countries and states of the United States of America; c- He shall countersign, seal and issue credentials approved by the International Credential department and signed by the Titular Bishop/General Superintendent; d- He shall compile an official list of membership submitted by the district officials including names and addresses of Ministers holding FRCI Credentials and report it during the meeting of the General Council; e- He shall give notice of meetings of the Board of Trustees and the meetings of the General Council/Assembly by mail or phone or both to assure evidence of such notice; f- He shall prepare and send out letters, memos, notices and circular coming from the Titular Bishop; and g- He shall perform such other functions as may be directed from time to time by Board of Directors, the General Council and the General Superintendent/Titular Bishop; General Treasurer The General Treasurer shall serve as the custodian of all monies owned or may acquire by the FRCI. Likewise he/she is in charge of disbursing same funds upon approval by the General Superintendent/Titular Bishop or his duly authorized representative. He/ She will receive cash or in kind on behalf of the corporation and issue corresponding receipts and make sound recording of contributions, donations, membership fees and tithes of the Districts and other receivables of the corporation. He/ She shall deposit all monies. Keep the bankbook and check book and can only withdraw with the approval of the Board of Trustees or the General Superintendent/Titular Bishop. In all withdrawals, the signature of the General Superintendent and the General Treasurer are enough. However, on unavoidable circumstances or emergencies, the General Superintendent may assign the Vice Titular Bishop to sign with the General Secretary and General Treasurer the withdrawal papers. International Credential Department The Credential Department is composed of the Titular Bishop, Vice Titular Bishops, the Auziliary Bishops, District Superintendents, General Secretary and General Treasurer. In case involving the Vice Titular Bishop and Auxiliary Bishop, the Titular Bishop may appoint among the General Superintendent or International Directors to serve in the Credential Department. Its duties, among others which may be assigned to it from time to time are the following: a- Shall examine and endorse the issuance of credentials duly submitted by the District Board of Directors or the District Superintendent; b- Shall examine and endorse the appointment of President, Administrator, Chaplain in every FRCI institution; c- Shall refer to the General Superintendent any matter brought to its attention by the District Superintendent/ Asst. District Superintendent for the revocation/termination of dis-fellowship of members; d- Shall review all missionary or church and religious organizations affiliation before the confirmation/approval; e- Should the District Board of Directors and District Superintendent fail to act satisfactorily based on biblical teachings within ninety (90) days, to settle or arbitrate the disputes and conflicts within the District, the International Credential Department shall review and/ or decide cases JUSTLY, FAIRLY AND IMPARTIALLY. The decisions are final and the Titular Bishop shall send the decision to the Board or the District Superintendent and copy furnished the person or persons concerned; f- Shall pass upon all appointments made temporarily by the Titular Bishop until next General Council/Assembly. Cabinet – Its Composition The Cabinet shall compose of all the International Directors, all District Superintendents, all members of the Legal Council and all members of the Financial Board. Its duties, aside from those which may be assigned to it from time to time, are: a- It shall serve as the implementation department of the program of the general Council/ Assembly; b- It shall serve as an advisory council to the Titular Bishop or General Superintendent on legal matters, financial matters, spiritual and temporal matters and missionary activities; c- It shall serve as planner and organizer for the growth of FRCI church, moral and spiritual life of members, education and expansion; and d- It shall serve as prayer partners of all district officials and PRO; Article V – Institutions Section I – Bible Schools or Colleges I- In order to multiply Christian workers and to increase their knowledge about God and His Words. FRCI realized the importance of Bible School or College. a. To established or build a Bible School/College; b. Recognize and accept any independent Bible School or college to be affiliated to FRCI; II – Board of Trustees – Composition 1- The Board of Directors of FRCI Bible School or College will be composed of a missionary, auxiliary Bishop and representative from the District. In addition to the District representatives, the Titular Bishop shall appoint a chairman of the Board who shall serve for a period of two (2). 2- Ex=officio members shall be the Titular Bishop and the missionaries; 3- The duty of the Board shall be the chief policy making body of the School/ College. It shall approve the curriculum and appoint the President and have general supervision of the school; 4- The meeting of the Board of Trustees shall be annually or every end of the semester or as often as may be necessary. Section II – The General Assembly shall be concerned with the establishment and maintenance of academic schools for the children of its constituency orphanages and home for the aged ministers and members. Section III – Ownership of Institutional Property a- Where private ownership exist, the FRCI through the General Council strongly recommends that proper administrative board in the corporate home of FRCI and that the title of the property transferred to the FRCI to be held in trust; b- Any donations, support coming from Christian friends for the operations of the School or College should be sent through the FRCI national Treasury for recording purposes and to establish future budget operation. Corporate Seal It shall have a corporate seal circular in form and the words: Faith Restoration Center, Inc. are written inside a circle and deep inside the said circle are the words Corporate Seal and General Council with the 1977 founding year are also written. ADDENDUM
1) It was voted and agreed that Supreme Bishop Title is not permitted in the
organization due to non- existence in the By-Laws of the organization.
2) It was agreed that the Titular Bishop Title is an exclusive title for the
founder of the organization and no successor will inherit or bear the title.
This is a perpetual agreement and cannot be reversed by any form of changes. The
title Titular Bishop belongs only to Bishop Gaudencio J. Soriano, Th.D., D.D. As
he goes the title goes with him.
The foregoing By-Laws are deemed adopted upon the simple majority vote of all members present for that purpose. Due to the death, incapacity and inactivity of some members of the Board, it was declared for the interest of the organization to move on. Proxy votes have been considered and consisted as follows: Four (4) Bishops, Four (4) Ordained Evangelists, and One (1) Asst. Pastor to form a quorum.
